i.Acceptance of terms

These Terms of Service ("Terms") govern your use of the website anna360design.site ("Website") and the design services provided by Anna 360 Design ("we", "our", "us", "Studio"). Anna 360 Design is a sole proprietorship operated by Rahul Singh, based in Aligarh, Uttar Pradesh, India. All contracts and invoices are issued in his name. By using the Website or engaging our services, you ("you", "Client") agree to be bound by these Terms.

If you do not agree with any part of these Terms, please do not use the Website or engage our services.

In short

Plain-English contract for working with us. Fixed quotes, written scope, 50% advance, you own the work. No outcome guarantees, no hidden fees.

ii.Definitions

  • Studio — Anna 360 Design, an independent design studio based in Aligarh, India
  • Client — the individual or entity engaging the Studio's services
  • Services — the design services described on our Website or in a written proposal
  • Project — a specific engagement defined by a written proposal accepted by the Client
  • Deliverables — the design files, assets, and outputs produced under a Project
  • Proposal — the written quote and scope document we provide before any Project begins

iii.Services

The Studio provides web design, user interface design, and related creative services. The exact scope, deliverables, and timeline of each Project are defined in the written Proposal accepted before work begins.

The Studio reserves the right to refuse any Project at its discretion, including projects that:

  • Conflict with the Studio's values or the values described on the Website
  • Involve illegal, harmful, or deceptive content
  • Cannot reasonably be delivered within the Studio's available capacity
  • Are outside the Studio's areas of expertise

iv.Engagement & quotes

4.1 Quotes & proposals

The starting prices listed on the Website are indicative only. A formal Proposal with a fixed price is provided after a discovery call and brief.

Proposals are valid for 30 days from issue date. After this period, the Studio may revise pricing or scope based on current capacity.

4.2 Acceptance of proposal

A Project begins only after the Client has:

  • Accepted the Proposal in writing (email confirmation is sufficient)
  • Signed any required service agreement
  • Paid the agreed advance

4.3 Free pre-engagement work

Initial enquiries, discovery calls, written briefs, and Proposals are provided free of charge with no obligation. The Client is not committed to anything until a Proposal is accepted.

v.Payment terms

5.1 Pricing

All prices are in Indian Rupees (INR), exclusive of applicable taxes including Goods & Services Tax (GST). International clients may be invoiced in USD by mutual agreement.

5.2 Payment schedule

Standard payment terms are 50% advance to begin and 50% on completion before final delivery. For larger Bespoke projects, payment may be split into 3 or 4 milestone instalments as agreed in the Proposal.

5.3 Payment methods

Accepted methods include UPI, NEFT/IMPS bank transfer, Razorpay, Wise, Stripe, SWIFT wire transfer, and cheque (subject to availability). The Studio is not responsible for transaction fees imposed by payment providers; these are typically borne by the Client.

5.4 Late payments

Invoices are due within 7 days of issue unless otherwise stated. Payments more than 14 days overdue may result in pause of active work until payment is received. Repeated or significant late payments may result in termination of the engagement.

5.5 Taxes

The Client is responsible for any taxes, duties, or levies that may be applicable in their jurisdiction other than those properly invoiced by the Studio.

vi.Scope & revisions

6.1 Defined scope

The scope of each Project is defined in the accepted Proposal, including page count, deliverables, included integrations, and any other specifics. Anything not listed in the Proposal is considered out of scope.

6.2 Revision rounds

Each Project includes a defined number of revision rounds: typically 2 for Starter, 3 for Studio, 4 for Bespoke packages. A "round" is a consolidated set of feedback, not individual emails.

6.3 Out-of-scope work

Work outside the agreed scope (additional pages, new features, scope expansions) will be quoted separately. Such work begins only after the Client approves the additional quote in writing.

No additional charges will appear on an invoice without prior written agreement.

6.4 Additional revisions

Revisions beyond the included rounds are charged at the Studio's hourly rate, currently ₹1,499 per hour, tracked transparently and quoted before any additional work begins.

vii.Timelines

Estimated timelines provided on the Website or in Proposals are good-faith estimates based on typical projects with normal feedback cycles. They are not guarantees.

Actual delivery dates depend on:

  • Timely return of feedback, content, and approvals from the Client
  • Timely payment of milestone invoices
  • Reasonable scope stability
  • Factors outside both parties' reasonable control (see Force Majeure)

If the Studio anticipates a material delay, the Client will be informed before the affected deadline, and a revised date will be agreed in writing.

viii.Client responsibilities

To enable the Studio to deliver as agreed, the Client agrees to:

  • Provide accurate, complete, and timely information for the Project
  • Provide content (copy, images, brand assets) by the agreed dates
  • Provide feedback within reasonable timeframes (typically 2–3 business days per round)
  • Make payments on the agreed schedule
  • Designate one primary point of contact for the Project
  • Ensure that any content provided to the Studio (text, images, logos, etc.) is owned by the Client or properly licensed for the intended use
  • Notify the Studio promptly of any changes to scope, priorities, or timelines on the Client's side

ix.Intellectual property

9.1 Final deliverables

Upon receipt of full payment, the Client receives:

  • Full ownership of the final delivered design work
  • Source files (Figma, code, or CMS access in the Client's own account)
  • The right to use, modify, and distribute the deliverables freely

9.2 Pre-payment ownership

Until full payment is received, all design work, files, and intellectual property remain the property of the Studio. The Client does not have the right to use, copy, or distribute the work prior to full payment.

9.3 Client-provided content

The Client retains all rights to content provided to the Studio (logos, copy, images, etc.). The Client warrants that they have the legal right to use such content and grants the Studio a limited license to use it solely for the purposes of completing the Project.

9.4 Third-party assets

If a Project requires third-party assets (stock photos, fonts, plugins), licensing fees are typically the Client's responsibility and will be itemised separately or noted in the Proposal.

x.Portfolio & promotional rights

The Studio retains the right to display completed work in its own portfolio, on its Website, in case studies, and on professional social media, including the use of the Client's name and project name, unless the Client requests otherwise in writing during the Project.

If the Client requires a confidentiality arrangement that prevents portfolio use, this should be agreed in writing before the Project begins. Such arrangements may, in some cases, affect pricing.

xi.Confidentiality

Both parties agree to keep confidential any non-public information shared during the engagement, including business strategies, product plans, financial information, and personal data.

This obligation continues after the Project ends. Information that becomes publicly known through no fault of either party, or that must be disclosed by law, is exempt from this obligation.

The Studio is happy to sign a separate NDA before sharing any sensitive information, on request.

xii.Warranties & disclaimers

12.1 What we warrant

The Studio warrants that:

  • Services will be performed with reasonable care and skill
  • Deliverables will be original work created by the Studio (excluding third-party assets, which are licensed separately)
  • The Studio has the legal right to provide the Services

12.2 Disclaimer of business outcomes

The Studio does not warrant or guarantee any specific business outcome resulting from the Services. This includes but is not limited to: traffic increases, conversion rates, sales, revenue, search engine rankings, brand recognition, or any other commercial result.

Business outcomes depend on many factors outside the scope of design — including the Client's offer, audience, market conditions, traffic sources, pricing, operations, and overall business strategy. The Studio's role is limited to providing thoughtful design work, not to guarantee outcomes.

12.3 No other warranties

To the maximum extent permitted by law, all other warranties — express, implied, statutory, or otherwise — are disclaimed.

xiii.Limitation of liability

To the maximum extent permitted by law:

  • The Studio's total liability for any claim arising from or related to a Project is limited to the fees paid by the Client for that specific Project
  • The Studio is not liable for indirect, incidental, special, consequential, or punitive damages — including loss of profits, revenue, goodwill, data, or business opportunities
  • This limitation applies regardless of the legal theory of the claim (contract, tort, statute, or otherwise) and even if the Studio has been advised of the possibility of such damages

This limitation does not apply to the extent prohibited by applicable law, such as for gross negligence, wilful misconduct, or breach of confidentiality.

xiv.Indemnification

The Client agrees to indemnify and hold the Studio harmless from any claims, damages, or expenses arising from:

  • Content or materials provided by the Client (e.g. infringement claims related to text, images, or logos)
  • The Client's use of the deliverables in violation of these Terms or applicable law
  • The Client's breach of these Terms

xv.Cancellation & termination

15.1 By the Client

The Client may cancel a Project at any time by giving written notice. Refunds, if any, are governed by the Refund Policy.

15.2 By the Studio

The Studio may terminate a Project for cause if:

  • The Client materially breaches these Terms
  • Payments are significantly overdue
  • The Client engages in abusive, unlawful, or unprofessional conduct
  • The Client requests work that is illegal, deceptive, or contrary to the Studio's values

If the Studio terminates for cause, fees paid for completed work are non-refundable. The Client receives all completed work to date.

15.3 Effect of termination

Upon termination, the parties' obligations under these Terms cease, except for those that by their nature survive termination (e.g. confidentiality, intellectual property, liability limitations).

xvi.Force majeure

Neither party is liable for delays or failures in performance caused by events beyond their reasonable control — including but not limited to natural disasters, pandemics, government actions, internet outages, power failures, and acts of war or terrorism. The affected party will notify the other promptly and resume performance as soon as reasonably possible.

xvii.Governing law & jurisdiction

These Terms are governed by the laws of India, without regard to conflict of law principles. Any dispute arising from these Terms or the Services is subject to the exclusive jurisdiction of the courts of Aligarh, Uttar Pradesh, India.

The parties agree to first attempt to resolve any dispute through good-faith negotiation before initiating legal proceedings.

xviii.Changes to these terms

The Studio may update these Terms from time to time. The "Last updated" date at the top of this page reflects the latest version. Material changes affecting an active Project will be communicated to the Client directly.

Continued use of the Website or Services after changes are posted constitutes acceptance of the updated Terms.
